Terms of Service

1. Acceptance of Terms

By accessing or using SyncGrid Scale ("the Service"), operated by SyncGrid LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") accept and agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SyncGrid Scale is an AI-powered boardroom platform that coordinates a team of specialized directors — Business Intelligence, Marketing, Prospecting, Sales, CRM, Follow-Up, and Onboarding — to support a founder's growth motion. The Service drafts outreach, sources prospects, tracks pipeline, and assists with customer success workflows in the user's voice and under the user's approval-gated control.

3. Agent Actions & Your Responsibility

3.1 Approval Gates

• Gmail Send: The directors compose each email and present it to you for review in the app. An email is sent only after you explicitly approve it. The Service never auto-sends.
• Calendar Create: All meeting invites are presented for your review before being created.
• Drive Share: All asset attachments are presented for your review before being shared.

3.2 Prohibited Uses of Agent Output

3.3 Honest Use of Voice and Data

• The BI Director captures YOUR voice. You may not use the Service to impersonate someone else's voice or brand.
• The CRM Director records what you report. You may not instruct it to record fabricated activity, fake interactions, or invented contacts.
• The Onboarding Director will pull testimonials from real customer interactions. You may not instruct it to fabricate testimonials.

3.4 Content You Upload

• You retain ownership of the documents, images, and other materials you upload or provide to the Service ("User Content").
• You are solely responsible for your User Content. You represent and warrant that you own it or have all rights and permissions necessary to provide it, and that it does not violate Section 4 or any applicable law.
• You grant us a limited, non-exclusive license to host, store, process, and transmit your User Content solely to operate and provide the Service to you — including sending it to our AI provider to fulfill your requests. We do not sell your User Content or use it to train third-party AI models (see our Privacy Policy).
• You provide and use the Service with all User Content at your own risk. To the maximum extent permitted by law, we are not responsible or liable for your User Content or for any loss, exposure, or misuse of content you choose to upload.

4. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorized access to any portion of the Service or its underlying systems
• Reverse engineer, decompile, or otherwise attempt to extract source code or model weights
• Use automated means (scrapers, bots) to extract data from the Service beyond the documented API surface
• Interfere with or disrupt the Service or servers connected to the Service
• Resell, sublicense, or distribute the Service without written authorization
• Upload, generate, store, or transmit content that is sexually explicit or pornographic
• Upload, generate, store, or transmit content that is unlawful, hateful, harassing, defamatory, that incites violence, or that infringes the intellectual property, privacy, or other rights of any third party
• Upload any file or content you do not own or otherwise have the full right to provide, or that contains another person's confidential or personal information without a lawful basis

5. Account Registration

• You must be at least 18 years old to use the Service
• You must provide accurate, complete, and current account information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities under your account, including agent actions taken with your approval
• You must notify us immediately of any unauthorized use of your account

6. Subscription, Payment, and Cancellation

• The Service is offered via subscription tiers (Scale Founder, Scale Operator, Scale Partner) as listed on the pricing page
• Subscriptions auto-renew monthly unless cancelled
• You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period
• Subscription credits do not roll over month-to-month unless explicitly stated in the tier
• Refunds are evaluated on a case-by-case basis and are not guaranteed
• Payment processing is handled by Stripe under their terms

7. Intellectual Property

7.1 Your Content

You retain all rights to your business profile, voice DNA, CRM data, conversations, and any drafts produced for you by the directors. We do not claim ownership of your content. We grant ourselves only the limited license needed to operate the Service for you (process, store, display, transmit to the integrated services you've authorized).

7.2 Our Service

SyncGrid Scale, the boardroom architecture, the director roster, system prompts, and all software comprising the Service are the property of SyncGrid LLC and are protected by intellectual property law.

7.3 Feedback

If you provide feedback or suggestions about the Service, we may use that feedback without obligation or attribution.

9. Limitation of Liability

To the maximum extent permitted by law, SyncGrid LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost revenue, lost customers, reputational harm, or damages arising from outreach drafts you approved and sent. Our total cumulative liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless SyncGrid LLC and its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) content you approved and sent, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms, abuse the Service, or fail to pay. You may terminate your account at any time. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Texas.

13. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.
